Terms and Conditions

By downloading, installing, accessing, or using the Talkey application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

Your agreement to these Terms is effective from the moment you first use the App and continues for as long as you use the App. If you do not agree to these Terms, you must immediately cease using the App and delete it from your device.

Account Creation Requirements

• You must be at least 13 years of age to create an account
• Users under 18 must have parental or guardian consent
• You must provide accurate and complete information during registration
• You may only create one account per person
• You must not impersonate another person or entity

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Ensuring your contact information remains current and accurate

Permitted Uses

You may use Talkey for:

• Personal language learning and education
• Creating and sharing educational content within the community
• Participating in language learning discussions and forums
• Accessing premium features through valid subscriptions

Prohibited Uses

You may NOT use Talkey to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious software, viruses, or harmful code
• Engage in commercial activities without our written consent
• Attempt to reverse engineer, decompile, or hack the App
• Create automated accounts or use bots
• Spam other users or distribute unsolicited content
• Collect personal information from other users

Commercial Use Restrictions

Commercial use of Talkey requires explicit written permission from Remelith Inc. This includes but is not limited to using the App for business training, reselling access, or incorporating Talkey into commercial products or services.

Talkey's Intellectual Property

All content, features, and functionality of the Talkey App, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Remelith Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

User-Generated Content

You retain ownership of any content you create and share through the App ("User Content"). However, by posting User Content, you grant Remelith Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of operating and improving the App.

Content Standards

All User Content must:

• Be accurate and not misleading
• Be your original work or properly licensed
• Not infringe upon any third party's rights
• Comply with applicable laws and regulations
• Be appropriate for a diverse, global audience

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Talkey App. By using our App, you consent to the collection and use of information in accordance with our Privacy Policy.

Prohibited Conduct

• Harassment: Bullying, intimidation, or persistent unwanted contact
• Hate Speech: Content that promotes hatred based on race, religion, gender, sexuality, or other protected characteristics
• Inappropriate Content: Sexually explicit, violent, or otherwise offensive material
• Spam: Repetitive, irrelevant, or promotional content
• Impersonation: Pretending to be someone else or creating fake accounts
• Doxxing: Sharing personal information of others without consent
• Cheating: Using unauthorized tools or methods to gain unfair advantages

Enforcement and Consequences

Violations of our community standards may result in:

• Warning and content removal
• Temporary suspension of account privileges
• Permanent account termination
• Legal action in severe cases

Talkey may integrate with or provide access to third-party services, websites, or applications to enhance your learning experience. These integrations are subject to the terms and conditions of the respective third parties.

Third-Party Disclaimer

We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

Subscription Plans

Talkey offers both free and premium subscription plans. Premium features include advanced learning analytics, unlimited flashcards, offline content access, and priority customer support.

Payment Terms

• Subscription fees are charged in advance on a recurring basis
• Prices are subject to change with 30 days' notice
• All payments are processed through Apple App Store or Google Play Store
• Taxes may apply based on your location
• Failed payments may result in service suspension

Cancellation and Refunds

• You may cancel your subscription at any time through your device's app store
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods
• Refund requests must be made through the respective app store
• Free trial cancellations must be made before the trial period ends

Free Trial Terms

Free trials are available for new subscribers only. If you don't cancel before the trial ends, you'll be automatically charged for a subscription. Previous subscribers are not eligible for additional free trials.

Termination by You

You may terminate your account at any time by deleting the App from your device and contacting us to request account deletion. Upon termination, your access to the App and any premium features will cease immediately.

Termination by Talkey

We may terminate or suspend your account immediately, without prior notice, for any of the following reasons:

• Violation of these Terms and Conditions
• Violation of our Community Standards
• Fraudulent or illegal activity
• Extended period of inactivity (12+ months)
• Technical or security concerns
• Failure to pay subscription fees

Effects of Termination

Upon termination of your account:

• Your access to the App will be immediately revoked
• Your learning progress and data may be permanently deleted
• Any unused subscription time will not be refunded
• You must cease all use of the App and delete it from your devices

Data Retention

After account termination, we may retain certain information as required by law or for legitimate business purposes, including fraud prevention and legal compliance.

THE TALKEY APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REMELITH INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• The App will meet your specific requirements or expectations
• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• The quality of any content, services, or information obtained through the App
• Any defects in the App will be corrected

Educational Disclaimer

While Talkey is designed to assist with language learning, we make no guarantees about learning outcomes, fluency achievement, or educational success. Language learning results vary based on individual effort, aptitude, and other factors beyond our control.

Technical Limitations

The App's functionality may be limited by factors including but not limited to device compatibility, internet connectivity, operating system updates, and third-party service availability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REMELITH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from any conduct or content of any third party on the App
• Damages resulting from any content obtained from the App
• Damages resulting from interruption or cessation of the App

Maximum Liability

In no event shall Remelith Inc.'s total liability to you for all damages exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold harmless Remelith Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution Process

Before filing any formal legal action, you agree to first contact us at legal@talkey.app to attempt to resolve any disputes informally. We commit to working with you in good faith to resolve any issues.

Arbitration Agreement

Any disputes that cannot be resolved informally shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, United States, or remotely by mutual agreement.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Remelith Inc. individually. You waive any right to participate in class action lawsuits or class-wide arbitrations.

Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

Right to Modify

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last Updated" date at the top of this document and notify users through appropriate channels.

Notification Methods

We will notify you of significant changes through:

• In-app notifications
• Email notifications to your registered email address
• Prominent notices on our website
• Push notifications (if enabled)

Acceptance of Changes

Your continued use of the App after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App and may terminate your account.

For material changes that significantly affect your rights or obligations, we will provide at least 30 days' advance notice and may require your explicit consent to continue using the App.
